1. Legal Agreement   (Top)

The terms and conditions set forth in this User Agreement apply to all visitors (hereinafter "Readers" and/or "Writers") of LitPitch.com, Inc. (hereinafter "LitPitch"), and create a legally binding Users’ Agreement (hereinafter "Agreement") between the Readers/Writers and LitPitch.

By using the services provided by LitPitch, all Readers/Writers accept the terms and conditions set forth herein, and acknowledge that they have the legal capacity to enter into this Agreement.

2. Background   (Top)

LitPitch is a website designed to provide a platform for Readers to discover fresh new literary works and Writers to gain recognition in an effort to create a worldwide community responsible for determining who and what the public wants to read. LitPitch provides a service to Writers to publish their otherwise unknown literary works for a nominal fee and Readers the ability to download and read these works at no charge. The Content ("Content") uploaded on LitPitch is entirely electronic, and may consist of fiction and non-fiction books, novels, screenplays, poetry, editorials, research papers, children’s stories, etc.

3. Content   (Top)

When you upload your Content on LitPitch, your literary work already has a copyright, but you agree to permit Readers the ability to download and read your Content free of charge in exchange for the opportunity that your work will gain significant popularity.

Readers and Writers are responsible for the Content they decide to share on LitPitch. Therefore, if a Reader and/or Writer decide to share Personal and Private Information ("Personal Information") on LitPitch, you authorize LitPitch to disclose and share this Personal Information as part of your Content. Readers and Writers are not permitted to include Personal Information about other people in your Content.

By uploading your Content on the site, you agree that LitPitch may use your Content, excluding any Personal Information that may have been included, for use in marketing and research materials. If LitPitch uses your Content, you and/or the original artist will receive all of the credit.

By uploading Content to LitPitch you represent and warrant, at all times during the term of this Agreement, that the Content:

  • Is owned by you or, to the extent owned by someone else, that you have permission to provide the Content to LitPitch, and that the Content does not contain any Personal Information about any individual other than you;
  • Does not violate any copyright, trademark, trade secret or other intellectual property right of any other party;
  • Does not invade any individual's right of privacy or publicity;
  • Does not contain material that is unlawful, defamatory, harassing, threatening, harmful, invasive of privacy or publicity rights or abusive,;
  • Any Content which may be viewed as obscene, pornographic, indecent, lewd, inflammatory or otherwise objectionable is properly noted as such as placed into the appropriate Mature Audience section of LitPitch;
  • Does not include malicious code, which includes, without limitation, viruses, Trojan horses, worms, time bombs, cancelbots, or any other computer programming routines that may damage, interfere with, surreptitiously intercept, or expropriate any system, program, data, or personal information (including Personal Information);
  • Does not violate any state and/or federal law or regulation, facilitate the breaking of any law or regulation, or violate any applicable provision or regulation set forth in any LitPitch rule or policy;
  • Does not offer or disseminate fraudulent goods, services, schemes, or promotions, or promote domain names, URLs, or hyperlinks that constitute commercial content such as that found in advertising, promotions, or solicitations;
  • To the best of your knowledge, all factual information in the Content you upload is true and accurate, and the use of any recipe, formula, or instruction in the Content will not result in personal injury to any person.
  • LitPitch cannot guarantee the accuracy, integrity or quality of Content.

LitPitch has the right to deny any Reader access to download and any Writer the ability to upload any Content that LitPitch, in its sole discretion, deems in violation of the terms and conditions set forth above.

In addition, all Readers and/or Writers represent and warrant that they have the legal capacity to enter into this Agreement, and that the entering into of this Agreement does not conflict with any arrangements or agreements between them and any other person or entity.

4. Community Use   (Top)

The Reader and/or Writer who created the Content is entirely responsible for it, and furthermore is solely responsible for any Content they upload on LitPitch. Due to the fact that computers and other equipment (both yours and ours) are subject to unexpected problems and malfunctions, all Readers and/or Writers agree that they will not hold LitPitch responsible for any unintentional damage to, corruption of or destruction of the Content. LitPitch is not responsible for backing up any uploaded Content. Each individual Reader and/or Writer is responsible for backing up, on their own computer, all Content. LitPitch is not responsible for archiving or backing up any Content. If any Content uploaded on LitPitch is damaged, lost or corrupted in any way, LitPitch will have no obligation or liability to you. You are solely responsible for all Content you generate or upload on LitPitch.

As a LitPitch Reader and/or Writer, you agree to the following:

  • Not to upload, forward, post or otherwise transmit any Content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, libelous, invasive of another's privacy, hateful, or racially, ethnically or otherwise objectionable;
  • Any Content which may be viewed as obscene, pornographic, indecent, lewd, inflammatory or otherwise objectionable is properly noted as such as placed into the appropriate Mature Audience section of LitPitch;
  • Harm anyone, including minors, in any way;
  • Not to use "spam," "blast-faxes," or recorded telephone messages to market or sell Content;
  • Not to interfere with the operation of LitPitch by using any viruses, programs or other computer technology designed to disrupt, damage or vandalize software or hardware;
  • Not to employ a robot, spider or other process or device to harvest e-mail addresses or other information or to monitor the activity on LitPitch;
  • Not to impersonate another person or entity; and
  • Not to upload Content that violates the terms described in the section of this Agreement.

LitPitch fully respects the free speech of every Reader and/or Writer. However, LitPitch reserves the right to remove any and all material that, in our opinion, is inappropriate or illegal, or offensive, or potentially or actually harmful in any respect. At our discretion, we may remove Content, cancel Reader and/or Writer accounts and ban Readers and/or Writers who violate our policies with respect to LitPitch. LitPitch may update its policies from time to time in our sole discretion.

5. Privacy   (Top)

LitPitch takes your privacy seriously. Please take the time to read the LitPitch Privacy Policy (hereinafter "Privacy Policy") to review the steps LitPitch takes in order to protect your privacy.

Privacy Policy Scope

  • The Privacy Policy includes "Personal Information" that LitPitch receives from you in order for you to use the reading and writing services provided by LitPitch. Personal Information is defined as "information about you that is identifiable and unique to you, such as your name, address, email address, or phone number, regardless of whether this information is otherwise publicly available."
  • This privacy policy is not applicable to companies that LitPitch does not own or control, or to individuals that LitPitch does not employ or manage. LitPitch is not responsible for how other companies or individuals employed by these companies protect personal information.
Information Collection and Use
  • LitPitch must obtain personal information from you in order for you to register as a Reader or Writer on LitPitch, when you download or upload literary material and when you visit LitPitch to use any of its literary services. LitPitch may use the personal information it obtains from you and use it with information we obtain from other companies.
  • LitPitch must obtain your name, email address, zip code and credit card information in order to register you as a Reader. Please note that your credit card information is only used to verify your age when opening a Reader account and will not be charged any fee in order to activate the account. You do have the ability to download most Content on LitPitch without registering as a Reader; however, you will be unable to post any Content.
  • LitPitch must obtain your name, address, telephone number, email address, gender, birthdate and credit card information to register you as a Writer. Please note that your credit card information is will be used to verify your age when opening a Writer account and will be used to pay the necessary fee to activate the account.
  • Once you register as a Reader or a Writer, you are not anonymous to LitPitch.
  • LitPitch automatically obtains and stores information on our server logs from your internet browser, including your IP address, LitPitch cookie information, and the page(s) you request.
  • LitPitch uses this information to improve the quality of its services, select advertisement content, conduct research, provide anonymous reporting to other internal and external clients and to contact you if necessary.
  • Children under the age of eighteen (18) are not permitted to register on LitPitch, and will need to access LitPitch through an account registered to the child’s parent or legal guardian once permission is authorized.
Information Sharing and Disclosure

LitPitch does not share, release or disclose your personal information with others people except to provide the services you have requested, when we have obtained your permission or under the following circumstances:

  • LitPitch is required by law to respond to subpoenas, court orders or legal process, or to establish, exercise or defend our legal rights.
  • LitPitch believes it is necessary to share, release or disclose information in order to investigate, prevent, or take action regarding illegal activities, suspected fraud, situations involving potential threats to the physical safety of any person, violations of the LitPitch terms of use, or as otherwise authorized or required by law.
  • LitPitch is permitted to transfer, share and release or disclose information about you if LitPitch is acquired by or merges with another company. Under these circumstances, you will receive prior notification by LitPitch that your information will be transferred, shared, released or disclosed, and becomes subject to a different privacy policy.
  • LitPitch uses advertisers who target individuals based on personal information provided by its registered users. Advertisers (including ad serving companies) may conclude that LitPitch users who interact with, view or click targeted advertisements satisfy their targeting criteria.
  • LitPitch does not share, release or disclose personal information to its advertisers when you interact with or view a targeted advertisement. However, LitPitch advertisers will conclude that you consent to and meet its targeting criteria used to display the advertisement if you choose to interact with, view or click a targeted advertisement.
Cookies
  • LitPitch may set and access LitPitch cookies on your computer.
  • LitPitch permits other companies and advertisers that have advertisements on some of our pages to set and access their cookies on your computer.
  • Other companies'’and advertisers’ use of their cookies is subject to their own privacy policies, not LitPitch’s.
  • Other companies and advertisers do not have access to LitPitch cookies.
Your Ability to Edit and Close Your Account
  • LitPitch allows you to edit your personal account information at any time.
  • LitPitch may send you certain communications regarding your LitPitch account and its related services, such as service announcements and administrative messages without your prior consent.
  • LitPitch allows you to close your personal account at any time. The intention of LitPitch is to delete all personal information once a user account is closed. However, certain personal information may remain in our archived records after your account has been cancelled or closed.
Confidentiality and Security
  • LitPitch limits access to your personal information to employees who reasonably need that information in an effort to do their jobs and provide quality services to our users.
  • LitPitch will never sell your personal information to third-parties.
  • LitPitch has implemented internal controls and procedural safeguards to protect your personal information.
  • LitPitch, however, makes no guarantee that your personal information will not be stolen by an individual that is able to circumvent our safeguards. In the event that any personal information on LitPitch has been accessed by an unauthorized third-party, LitPitch will send you information about any unauthorized access to the primary email address specified in your LitPitch account or by placing a general notice on our website.

6. Payment Terms   (Top)

Readers and/or Writers must possess a valid credit card to open a LitPitch account in order to upload Content. Writers will be charged an annual fee of $11.95 to their credit card beginning on the date the account is created. Writer accounts are automatically set to "auto-renew" every year on the date the account was created unless otherwise closed by the Writer prior to the annual renewal date. Please note that a Writer may turn off the "auto-renew" option when creating their account. Readers will not be charged any fee on their credit card, but must enter the information to verify that they are at least eighteen years old.

The cost to download and read Content on LitPitch is free.
The cost to upload Content on LitPitch is as follows:

Standard account includes up to two (2) literary works subject to a maximum storage usage of 100 megabytes (approximately 350 pages of text)   Every two (2) additional literary works subject to a maximum storage usage of 100 megabytes (approximately 350 additional pages of text)
$11.95 annual subscription   $7.95
7. Refunds   (Top)

Each Writer will be charged for the entire year regardless of whether the account is closed prior to being active for one year. LitPitch will not issue a refund or prorate the annual fees set forth above for any reason. Please note that this includes accounts cancelled by LitPitch for violation of this Agreement.

8. User Registration and Information   (Top)

LitPitch wants to make sure that you have correctly completed the information in the Reader and/or Writer Account Registration ("User Information"). Should any of your User Information changes in the future, please promptly edit the User Information on your account. LitPitch is not responsible to keep User Information current and up to date.

You must create a User ID and Password during the Reader and/or Writer Account Registration process. You are solely responsible in all respects for: (a) all use of LitPitch using your User ID and Password, and (b) maintaining the confidentiality of your User ID and Password. Only one individual may access the Site at the same time using the same User ID and Password. You agree to notify us immediately of any unauthorized use of your e-mail address, User ID or Password or any other breach of security regarding LitPitch of which you become aware. LitPitch may deny you a User ID or Password that impersonates someone else, is protected by trademark or other proprietary right law, is vulgar or otherwise offensive, or for any other reason.

9. Changing Content and/or Cancelling Your Account   (Top)

When you choose to change or remove Content from LitPitch, it will no longer be available or visible to other Readers and/or Writers. Your Content may be changed and/or removed by you at your discretion. The exceptions to your ability to remove Content are as follows:

  • Content will be retained by LitPitch in its archives for archival purposes. LitPitch will not, however, retain any of your Personal Information any longer than is necessary to fulfill the purpose for which it was obtained;
  • Content that you have made available to Readers and/or Writers in electronic formats may also remain available on LitPitch to those who have downloaded your Content.

LitPitch does not retain any residual rights to Content other than those set forth above.

If you cancel your account or remove Content, the terms above regarding the Content you have uploaded remain applicable.

10. Restrictions on Use of Content   (Top)

If you download Content from LitPitch, you agree to the following restrictions with respect to such acquired Content and the information contained therein:

  • You may not sell or otherwise profit from the use or display of Content that is not owned by you;
  • Sharing, copying, adapting, redistributing, reconfiguring, modifying or creating derivative work from the Content is permissible only if explicitly designated in the permissions included by the owner of the Content and only to the extent so explicitly designated. You agree to abide by any restrictions included with the Content;
  • The owners of Content uploaded on LitPitch retain ownership of the copyrights or other licenses associated with the Content. You agree not to allow any other party to: sell, redistribute, sublicense, assign, delegate, or otherwise transfer this Agreement, the Content, any part thereof, or any related rights or obligations hereunder, to any third party; and
  • You agree not to remove, alter or obscure any proprietary rights notices contained in or uploaded with any Content uploaded on LitPitch.
11. International Users   (Top)

LitPitch makes no representation that uploaded material is appropriate or available at locations outside of the United States. You may not use LitPitch or export the Contents in violation of the export regulations of the United States. If you access LitPitch from a location outside of the United States, you are responsible for compliance with all applicable local laws.

12. Operation of Site   (Top)

LitPitch may be unavailable at certain times for upkeep and maintenance purposes. LitPitch makes no representation, warranty or guarantee that you will be able to access, navigate or derive services in a timely, uninterrupted or error-free manner, or that LitPitch will meet Readers and/or Writers purposes. LitPitch also reserves the right to modify the features, availability, operation and/or display of its appearance from time to time without prior notice to our users.

13. Disclaimers   (Top)

All of the Content on LitPitch, including all software, services, information, materials, forums, tools and other products sold by its third-party licensors, providers and/or advertisers are provided and/or sold on an "as-is," "as-available" basis, without representation or warranty of any kind, including but not limited to the implied warranties of merchantability, non-infringement and fitness for a particular purpose.

Without limiting the prior statement, LitPitch cannot vouch for the quality, accuracy, completeness, correctness or currency of any Content or information, including all software, services, information, materials, forums, tools and other products provided and/or sold on or through LitPitch.

WITH REGARD TO DOWNLOADS, LITPITCH DOES NOT REPRESENT OR WARRANT THAT DOWNLOADING CONTENT OR USE OF THE SITE WILL BE SUCCESSFUL, AND DOES NOT REPRESENT OR WARRANT THAT ANY SUCH DOWNLOADING OR USE WILL NOT CAUSE DAMAGE TO YOUR COMPUTER, DATA, SOFTWARE, FILES OR PERIPHERALS. LITPITCH WILL NOT BE LIABLE FOR ANY DAMAGE TO YOUR COMPUTER, DATA, SOFTWARE, FILES OR PERIPHERALS THAT MAY BE CAUSED BY YOUR USE OF THE SITE AND DOWNLOADING CONTENT.

14. Limitation of Liability   (Top)

In no event shall LitPitch.com, Inc. or any of its officers, employees, directors, affiliates, agents or third-party licensors and content providers be liable to you or anyone else for any special, consequential, indirect, cover, punitive, incidental or similar damages (including, without limitation, lost profits, lost sales, or lost business) directly or indirectly related to or arising out of this website, Content on this website, or any transaction entered hereunder, whether in contract, tort or otherwise, even if LitPitch or one of its officers, employees, affiliates or agents has been advised of the possibility of such damages. You agree that the liability of LitPitch, its officers, employees, affiliates, and agents, if any, arising out of any kind of legal claim (whether in contract, tort or otherwise) in any way connected with any transaction entered hereunder shall not exceed the amount you paid in connection with the transaction giving rise to such claim. Any action under this Agreement must be commenced within one (1) year after such cause of action occurs.

THE FOREGOING LIMITATION APPLIES TO THE ACTS, OMISSIONS, NEGLIGENCE AND GROSS NEGLIGENCE OF LITPITCH, ITS OFFICERS, EMPLOYEES, AFFILIATES AND AGENTS WHICH, BUT FOR THIS PROVISION, WOULD GIVE RISE TO THE CAUSE OF ACTION AGAINST LITPITCH IN CONTRACT, TORT, OR ANY OTHER LEGAL DOCTRINE. YOUR SOLE AND EXCLUSIVE REMEDIES UNDER THIS AGREEMENT ARE AS EXPRESSLY SET OUT IN THIS AGREEMENT. ANY WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS. YOU MAY ALSO HAVE OTHER RIGHTS, WHICH VARY FROM STATE TO STATE OR COUNTRY TO COUNTRY.

15. Indemnification   (Top)

If LitPitch is sued in court as the result of something you did in violation of this Agreement, you will pay for any damages or costs assessed against or incurred by LitPitch. As such, you agree to indemnify and hold LitPitch harmless against all third party claims, demands, suits, actions, judgments, losses, costs, damages (direct, indirect and consequential), attorney's fees and expenses that LitPitch may sustain or incur by reason of any breach or alleged breach of any representation, warranty, term or condition of this Agreement, and for any related act or omission by you.

16. Proprietary Rights   (Top)

LitPitch is the owner of all intellectual property rights, including all copyright, patents, and trademarks, associated with this website, with all rights reserved, exclusive of the Content provided by third parties, which is owned by the writers of such Content. LitPitch owns the design, format and layout of this website. LitPitch authorizes Readers and/or Writers of this website to use this website and to copy materials posted on this website strictly for their own personal, non-commercial use, provided you maintain all notices of rights on the Content. Any and all other uses of the materials posted on LitPitch are prohibited. Giving you permission to make a copy for your own use does not mean that you can do anything else with the Content. For example, your authorization from LitPitch does not extend to use of the design, format, or layout of this website, which may be further protected under applicable trade dress, trademark, or copyright laws. All copyright, patent, trademark, and other intellectual property-related notices must remain affixed to any materials downloaded from this website. Failure to maintain such notices voids the authorization granted above. In granting this authorization, LitPitch grants no other right, title, ownership, license, or other property interest in the materials and subject matter posted on the website, and in any intellectual property rights protecting such materials and subject matter.

The LitPitch logo and the names of all LitPitch products and/or services as posted herein are trademarks or service marks, or registered trademarks and/or service marks of LitPitch.

17. Digital Millennium Copyright Act   (Top)

Please note that LitPitch respects the Content uploaded by Writers and the ownership rights in the Content. LitPitch will respond to notices of alleged infringement that comply with the Digital Millennium Copyright Act (hereinafter "DMCA"). Please note that LitPitch will promptly cancel, without notice, any Reader and/or Writer Account if it is determined by LitPitch that the Reader and/or Writer is a "repeat infringer." A repeat infringer is a Reader and/or Writer who has been placed on notice by LitPitch of infringing activity violations more than twice and/or who has had their Content or any other Reader and/or Writer uploads removed from the LitPitch website more than twice.

In the event that a copyright owner discovers their unauthorized content on LitPitch, the copyright owner should immediately contact LitPitch at the following:

The owner must then complete a DMCA Infringement Notice (hereinafter "Notice") that complies with the following procedures:

  • The Notice must be written;
  • The Notice must contain the signature of a properly authorized person;
  • The Notice must identify adequately the copyrighted Content or material;
  • The Notice must contain information sufficient to allow the service provider to contact the complaining party;
  • The Notice must contain a statement that the complaining party has a good faith belief that the Content or material is unauthorized; and
  • The Notice must contain a statement that information is accurate, and under penalty of perjury, that the complaining party is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

You are registered with the U.S. Copyright Office as the Designated Service Provider Agent to receive notifications of alleged Copyright infringement with respect to users of the Service for which you are the Designated Agent.

Upon receiving the Notice, if LitPitch removes the allegedly infringing Content, then LitPitch is exempt from copyright infringement claims for displaying the Content, and the Content is exempt from claims based on having taken down the Content or material. LitPitch, however, must notify the Reader and/or Writer (the alleged infringer who is posting the copyrighted material) that the Content has been removed or blocked.

Subsequently, a Reader and/or Writer who feels their Content is not infringing may file a DMCA Counter-Notice (hereinafter Counter-Notice") to respond to the Notice and Content removal that complies with the following procedures:

  • The counter-notice must be written;
  • The counter-notice must contain the signature of a properly authorized person;
  • The counter-notice must adequately identify Content that has been removed or to which access has been disabled and the location at which the material appeared before it was removed or access to it was disabled;
  • The counter-notice must contain a statement under penalty of perjury that the subscriber has a good faith belief that the material was removed or disabled as a result of mistake or misidentification of the material to be removed or disabled; and
  • The counter-notice must contain the subscriber's name, address, and telephone number, and a statement that the subscriber consents to the jurisdiction of Federal District Court for the judicial district in which the subscriber's address is located.

The copyright owner, upon receiving the Counter-Notice of the Reader and/or Writer, must bring a copyright infringement lawsuit, or LitPitch is obligated to restore the removed or blocked Content or Material.

18. Miscellaneous   (Top)

This Agreement is binding. It cannot be changed, except as the Agreement describes, specifically including the Amendments section below, unless both parties agree to a change and that change is set out in a written document signed by both parties. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to this Agreement.

No rights provided by this Agreement are lost or diminished because of lack of use of such rights.

Every provision of this Agreement is intended to be severable. If any section of this Agreement is found to be invalid or unenforceable, then such section will be deemed amended and interpreted, if possible, in a way that renders it enforceable. If such an interpretation is not possible, then the section will be deemed removed from this Agreement and the rest of this Agreement will remain in full force and effect.

This Agreement is governed by the laws of the Commonwealth of Pennsylvania, without regard to its "choice of law" provisions. The parties agree that any dispute that cannot be settled by good faith negotiation shall be submitted to arbitration in accordance with the rules of the American Arbitration Association. The location of the arbitration shall be Harrisburg, Pennsylvania. The arbitration shall be conducted by a single arbitrator with experience in computer/technology matters and in the publishing industry. The decision of the arbitrator shall be legally binding, shall not be subject to appeal, and shall be enforceable in any court of competent jurisdiction.

Except for payments due, if anything happens that is beyond reasonable control of either party (wars, sabotage, riots, labor disturbance, failure or delay of transportation, terrorist act, severe weather, natural disaster, act of God, etc.), then delays will be expected and performance may be excused. LitPitch and its subcontractors or suppliers shall not be liable for any delay caused by the occurrence of such event beyond their reasonable control. This Agreement does not designate either party as the agent, employee, legal representative, partner or joint venture member of the other party for any purpose whatsoever.

19. Term   (Top)

This Agreement is effective until terminated by either you or LitPitch. LitPitch may terminate or suspend this Agreement immediately for any reason and without prior notice to you. Your request to terminate will become effective within thirty (30) days after receipt of your specific request has been acknowledged by LitPitch. If you choose to cancel and close your Writer account, the terms of this Agreement regarding any Content you have uploaded remain applicable. All provisions of this Agreement relating to payment, commissions, service fees, disclaimers, limitations of liability, indemnification, confidentiality, and proprietary rights shall survive termination.

20. Agreement and Amendments   (Top)

By completing the registration process and activating a Reader and/or Writer account on LitPitch, you are confirming that you have the full power and authority to enter into and perform in accordance with the terms of this Agreement. You also agree that this Agreement is a legal, valid and binding obligation, and that its terms and conditions can be enforced. We encourage you to print and keep a copy for reference.

LitPitch reserves the right to change the terms in this Agreement from time to time. In the event that the terms of this Agreement are changed, LitPitch will send you information on all relevant changes to the primary email address specified in your LitPitch account or by placing a general notice on our website. You agree to review the terms of this Agreement from time to time. If you do not agree to be bound by any future changes, you are required to promptly notify LitPitch and discontinue your use of the website. If you use the website after LitPitch has provided prior notice or posted a general notice of any changes on the website, you are agreeing to be bound by all of the changes.
